1. Eligibility

You may use the Social Service only if:

• You are at least 13 years old,
• You have the legal power to enter into a binding contract with Supaku, and
• Your use of the Social Service is not prohibited under applicable law or by any platform whose services you connect.

If you use the Social Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes both you and the organization.

2. Description of the Social Service

The Social Service helps you:

• Connect social accounts and related tools you choose to authorize
• Collect engagement and writing signals (for example likes, follows, posts you write) subject to your settings
• Build a private persona model that reflects your tone, topics, and preferences
• Generate, refine, schedule, and publish posts, comments, and other content in your voice
• View analytics and suggestions related to your social presence

The Social Service may integrate with third party social platforms, writing tools, scheduling tools, and AI providers. We may add or remove features and integrations from time to time.

You are responsible for reviewing and complying with the terms and policies of the platforms and tools you connect, such as Twitter / X, LinkedIn, Typefully, and others.

3. Accounts and security

A Supaku Account is required to use the Social Service. The creation, security, and management of your Supaku Account are governed by the Supaku Account Terms of Service.

You are responsible for:

• Maintaining the confidentiality of your login credentials and access tokens
• All activity that occurs under your Supaku Account and connected integrations
• Promptly notifying us at security@supaku.com if you suspect unauthorized access or other security issues

4. Integrations and third party services

When you connect a third party service to the Social Service, you authorize Supaku to:

• Access and use that service in accordance with the permissions you approve
• Retrieve content, analytics, and account information from that service
• Create, modify, or publish content on that service on your behalf when you explicitly request it

Supaku does not control third party services and is not responsible for their actions, terms, or policies. Your use of any third party service is solely between you and that service.

We may suspend or disable an integration if required by the third party, by law, or to protect users and systems.

5. Your content and AI generated content

a. Your content

"Your Content" means any text, images, prompts, data, or other material you input into or connect to the Social Service, including content imported from third party platforms.

You retain ownership of Your Content. You grant Supaku a worldwide, non exclusive, royalty free license to host, store, process, modify, and display Your Content as reasonably necessary to:

• Operate and provide the Social Service
• Generate, refine, and format suggested content for you
• Publish content to platforms and tools you authorize
• Maintain backups, logs, and system integrity

You are responsible for ensuring that Your Content does not violate any law, these Terms, or the terms of any platform or service where it appears.

b. AI generated content

The Social Service uses AI models to generate or suggest content based on Your Content and other inputs. For purposes of intellectual property rights between you and Supaku, and subject to applicable law and third party terms, we grant you a license to use AI generated content that we present to you through the Social Service, including for commercial purposes.

You are responsible for reviewing all AI generated content before using or posting it and for ensuring that it complies with:

• Applicable law
• Platform rules
• Your contractual and professional obligations

AI generated content may be inaccurate, incomplete, or inappropriate. It is provided as a tool to assist you and is not a substitute for your own judgment.

c. Use for improvement

You agree that Supaku may use Your Content and AI generated content, in de identified or aggregated form, to develop and improve the Social Service and related models and features. Where we rely on third party AI providers, Your Content and related data may be processed by those providers under contract for the same purposes.

6. Acceptable use

You agree not to, and not to permit others to:

• Use the Social Service in violation of any applicable law or regulation
• Use the Social Service in a way that violates any third party rights, including privacy, publicity, or intellectual property rights
• Use the Social Service to generate or distribute spam, scams, misleading information, or harmful content
• Attempt to interfere with or disrupt the Social Service or its infrastructure
• Attempt to gain unauthorized access to any account, system, or network
• Reverse engineer, decompile, or attempt to derive the source code of the Social Service, except where allowed by law
• Use automated scripts or scraping in a way that burdens our systems beyond normal usage patterns

We may investigate and take any action we deem appropriate, including suspending or terminating access to the Social Service, if we reasonably believe you have violated these Terms or applicable law.

7. Fees and payment

We may offer both free and paid plans for the Social Service. Specific pricing, features, and billing terms will be presented at the time of purchase or upgrade and form part of these Terms.

If you sign up for a paid plan:

• You agree to pay all applicable fees and taxes
• Fees are typically billed in advance and are non refundable except where required by law or explicitly stated
• Subscriptions may renew automatically at the then current rate unless you cancel in accordance with the plan terms

We may change prices or plan features with reasonable notice. Changes will not apply retroactively to periods you have already paid for.

8. Termination and suspension

You may stop using the Social Service at any time. You may be able to delete your account or cancel a subscription through settings or by contacting us.

We may suspend or terminate your access to the Social Service, in whole or in part, if:

• You materially or repeatedly breach these Terms or other applicable policies,
• You fail to pay any fees owed,
• We are required to do so by law or by a third party platform, or
• We reasonably believe your use creates risk or harm to other users, Supaku, or the public.

Where reasonably possible we will give you notice before termination or suspension, but we may act immediately where necessary to protect security or comply with legal obligations.

Upon termination, your right to use the Social Service will end. Sections that by their nature should survive termination will continue to apply, including those relating to ownership, payment obligations, disclaimers, limitations of liability, and indemnification.

9. Disclaimers

The Social Service, including all content and features, is provided "as is" and "as available", without warranties of any kind.

To the fullest extent permitted by law, Supaku disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, and any warranties arising from course of dealing or usage of trade.

Supaku does not guarantee that the Social Service will be uninterrupted, secure, or error free, or that content generated by the Social Service will be accurate, complete, or suitable for your purposes.

The Social Service does not provide legal, financial, investment, medical, or other professional advice. You are responsible for your use of AI generated content and for all content you choose to publish.

10. Limitation of liability

To the fullest extent permitted by law:

Supaku will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Social Service, even if we have been advised of the possibility of such damages.

Supaku's total aggregate liability for all claims arising out of or related to the Social Service or these Terms will not exceed the greater of:

• The total amount you paid to Supaku for the Social Service in the twelve months before the event giving rise to the claim, or
• One hundred United States dollars (USD 100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Supaku and its members, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Social Service,
• Your Content or AI generated content you choose to use or publish,
• Your violation of these Terms or any applicable law, or
• Your violation of any third party right.

We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

12. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to the Social Service are governed by the laws of the State of New York and the United States, without regard to conflict of law rules.

You and Supaku agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Social Service, and you consent to the personal jurisdiction and venue of those courts.

13. Changes to the Social Service and these Terms

We may modify or discontinue all or part of the Social Service at any time, subject to applicable law.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and may provide additional notice where required.

Your continued use of the Social Service after the updated Terms become effective means that you accept the updated Terms.

14. Miscellaneous

Entire agreement. These Terms, together with any additional terms for specific features and the Supaku Account Terms of Service, form the entire agreement between you and Supaku regarding the Social Service.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver. Supaku's failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign or transfer these Terms or your rights under them without Supaku's prior written consent. Supaku may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
